Rules, rights, and responsibilities governing developer profiles, social feeds, Deal Rooms, and marketplace transactions on DevSocial.
1. Agreement to Terms & Eligibility
These Terms of Use ('Terms') constitute a legally binding agreement between you ('User', 'you', or 'your') and DevSocial Technologies ('DevSocial', 'we', 'us', or 'our') governing your access to and use of our website, applications, social network, developer profiles, and marketplace services.
By creating an account, accessing feeds, publishing content, submitting offers, or entering Deal Rooms, you confirm that you are at least eighteen (18) years of age (or have reached the age of majority in your jurisdiction) and possess full legal capacity to enter into this contract. If you represent an organization, you warrant that you possess full authority to bind that entity to these Terms.
2. Platform Role & Intermediary Safe Harbor
Independent Software Venue & Neutral Conduit
DevSocial operates strictly as an independent software venue and technical intermediary. We provide communication channels, evidence preservation, deliverable delivery links, and payment-coordination tools to facilitate collaboration among developers, buyers, and builders.
DevSocial is NOT an employer, contractor, partner, agent, joint venturer, broker, insurer, escrow agent, or fiduciary of any user or transaction. We do not endorse, sponsor, validate, or guarantee any user profile, project listing, code archive, or counterparty representation.
3. Zero Server-Side Execution & Code Disclaimer
Absolute Non-Execution Architecture
DevSocial NEVER executes, compiles, runs, audits, debugs, evaluates, or certifies user-submitted source code, scripts, binaries, or archives on its main or secondary application infrastructure.
While automated archive virus or quarantine scans may be conducted for basic boundary hygiene, a clean scan does NOT constitute a warranty, audit, certification, or representation that any software file is free from bugs, security vulnerabilities, hidden defects, or malicious payloads. DevSocial disclaims all liability for the technical fitness, safety, or stability of any deliverable.
4. User Accounts, Security & Verification Badges
You must provide accurate, current, and complete registration information and maintain its accuracy. You are solely responsible for maintaining the confidentiality of your account credentials, sessions, and two-factor authentication tokens, and you accept full liability for all actions taken through your account.
Verification badges (such as Developer, Identity Verified, Business, or Investor) indicate only that specific superficial verification criteria were met at the time of review. Badges do not constitute a guarantee, endorsement, or insurance of trustworthiness, financial solvency, competence, or deliverable quality. DevSocial reserves the unilateral right to grant, suspend, or revoke any verification badge at any time without liability.
5. Acceptable Use & Prohibited Activities
Users must respect fellow community members and maintain the integrity of the platform. You agree not to engage in any prohibited conduct, including without limitation:
- Malicious Payloads: Distributing, transmitting, or uploading malware, viruses, trojans, backdoors, ransomware, spyware, hidden telemetry, keyloggers, or malicious exploit tools.
- Intellectual Property Theft: Listing, distributing, or selling pirated assets, leaked trade secrets, non-compliant copyleft code, or unauthorized proprietary software.
- Deceptive Practices: Engaging in fraud, phishing, impersonation, deceptive listings, fake reviews, wash trading, or unauthorized payment manipulation.
- Platform Abuse: Automating engagement, artificially inflating upvotes or followers, running scrapers or crawlers without written consent, or initiating denial-of-service attacks.
- Circumvention: Attempting to bypass private Deal Room controls, signed storage URLs, account rate-limits, or platform security boundaries.
6. Marketplace & Private Deal Room Contracts
Bilateral Contracts Between Buyer and Seller
DevSocial provides private Deal Rooms where prospective buyers and sellers negotiate, agree upon terms, and exchange deliverables. When a seller accepts a buyer's offer, a binding, private bilateral contract is formed exclusively between that Buyer and Seller.
DevSocial is NOT a party to any Deal Room contract, agreement, or transfer. The parties are solely responsible for defining scope, acceptance criteria, inspection periods, and fulfillment. DevSocial has no obligation to resolve contractual breaches between counterparties.
7. Seller Representations & Title Warranties
Every seller listing an asset, repository, domain, or project on DevSocial makes the following mandatory, legally binding representations and warranties to buyers and DevSocial:
- Clear Title & Ownership: Seller is the sole lawful owner of, or holds explicit, irrevocable, documented authority to sell, assign, or license, every included asset, file, dependency, domain, and design.
- Non-Infringement: The deliverables and their transfer do not violate or infringe upon any third-party patent, copyright, trademark, trade secret, or privacy right.
- Open Source Compliance: All included third-party libraries and open-source dependencies comply fully with applicable license obligations and do not introduce undisclosed copyleft (such as GPL) contaminations that impair proprietary use.
- Accurate Disclosures: All documented metrics, revenue claims, tech stack details, and known defects in the listing are true, accurate, and not misleading.
8. Buyer Inspection Duty & Sandboxing Obligation
Mandatory Isolated Environment Testing
Software deliverables transferred over digital networks inherently carry risk. The buyer bears the sole, non-delegable legal duty to thoroughly inspect, compile, audit, and test all delivered source code, archives, dependencies, and binaries STRICTLY within an isolated, sandboxed, non-production security environment prior to integration or deployment.
Buyers must complete inspection within the inspection timeframe established in the accepted Deal Room terms. Confirming delivery or failing to initiate a formal dispute within the designated inspection period constitutes irrevocable, final acceptance of the deliverable.
9. Total Assumption of Risk
You acknowledge and expressly agree that your use of the platform, participation in Deal Rooms, and downloading, execution, integration, or deployment of any source code or digital assets is conducted at your own sole risk.
To the fullest extent permitted by law, DevSocial disclaims any and all liability for data loss, hardware damage, network downtime, security compromises, economic losses, or commercial failures resulting from code or assets acquired through the platform.
10. Payment Coordination & Non-Escrow Disclosure
Payment Workflow Processing Only
DevSocial coordinates payment workflows via certified third-party payment gateways (such as Stripe). DevSocial is not a chartered bank, trust company, money transmitter, or licensed escrow agent.
Unless explicitly approved in writing by licensed legal counsel and the licensed payment institution, funds held, pre-authorized, or coordinated through DevSocial do NOT constitute legal escrow, trust funds, or banking deposits.
Payout releases, refunds, and transaction holds are administered strictly according to Deal Room milestones, fraud screening, and payment provider operating terms. Users are solely responsible for calculating and remitting all relevant taxes arising from their sales or purchases.
11. Evidence Preservation & Retained Audit Records
To safeguard community integrity, prevent commercial fraud, and protect users in dispute scenarios, all Deal Room messages, offers, attachments, file transfers, and status transitions generate an immutable transaction timeline.
When a user edits or deletes a message or post, it is hidden from ordinary user views. However, the original content, sender identity, and precise timestamps are permanently retained in restricted audit schemas accessible solely to authorized moderation and legal compliance personnel for fraud investigation and dispute adjudication.
12. Intellectual Property & Platform License
DevSocial Branding & Software: The DevSocial platform, user interface, brand assets, source code, logos, and features are the proprietary property of DevSocial and protected by international intellectual property laws.
User Content: You retain ownership of your authored posts, portfolio content, and projects. You grant DevSocial a worldwide, non-exclusive, royalty-free license to host, store, cache, format, and display your content strictly to operate the service.
Copyright & DMCA Takedowns: If you believe content on DevSocial infringes your copyright, submit a detailed infringement notice to legal@devsocial.io. DevSocial enforces a strict repeat-infringer termination policy.
13. Disclaimer of Warranties
THE DEVSOCIAL PLATFORM, DEAL ROOMS, SERVICES, CONTENT, AND ALL MARKETPLACE PRODUCTS ARE PROVIDED STRICTLY ON AN 'AS IS' AND 'AS AVAILABLE' BASIS, WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVSOCIAL EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, FREEDOM FROM BUGS OR MALWARE, AND CONTINUOUS, UNINTERRUPTED OPERATION.
14. Strict Limitation of Liability & Dollar Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEVSOCIAL, ITS FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, CODE, GOODWILL, WORK STOPPAGE, SYSTEM CRASHES, OR BUSINESS INTERRUPTION) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR DEALS EXECUTED ON THE PLATFORM.
DEVSOCIAL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR ANY MARKETPLACE DEAL SHALL BE STRICTLY CAPPED AT THE LESSER OF: (A) THE NET FEES ACTUALLY RETAINED BY DEVSOCIAL FROM THE TRANSACTION GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).
15. User Indemnification (Full Hold-Harmless)
You agree to defend, indemnify, and hold harmless DevSocial, its founders, subsidiaries, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, losses, expenses, and reasonable attorneys' fees arising out of or related to:
This defense and indemnification obligation survives your termination or deactivation of your DevSocial account and your use of the marketplace.
- Your access to or use of the DevSocial platform, feeds, or Deal Rooms.
- Any project, repository, source code, binary, domain, or digital asset listed, sold, bought, or delivered by you.
- Your violation of these Terms, acceptable use rules, or any applicable law or regulation.
- Any infringement or misappropriation of third-party intellectual property, privacy, or proprietary rights by your content or deliverables.
- Any defects, security vulnerabilities, or damages caused by code or archives provided by you in any transaction.
- Any bilateral dispute, breach of contract, or claim between you and another DevSocial user.
16. Dispute Resolution, Binding Arbitration & Class Waiver
Mandatory Individual Arbitration
Informal Resolution First: Before filing any claim, you agree to attempt informal resolution by contacting support@devsocial.io. For Deal Room disputes, counterparties agree to participate in good-faith platform dispute triage.
Mandatory Binding Arbitration: Any unresolved controversy or claim arising out of or relating to these Terms or the platform shall be determined by confidential, binding individual arbitration administered under recognized commercial arbitration rules.
CLASS ACTION WAIVER: YOU AND DEVSOCIAL AGREE THAT ALL DISPUTES MUST BE BROUGHT SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. TRIAL BY JURY IS EXPRESSLY WAIVED.
17. Modifications, Termination & Product Draft Status
We reserve the unilateral right to update or modify these Terms at any time. Material changes will be communicated via platform announcements or account notices. Continued use of DevSocial following updates constitutes acceptance of the revised Terms.
DevSocial reserves the right to suspend or terminate accounts, listings, or platform access immediately, without prior notice, for conduct violating these Terms or creating security risk.
